The following bills impacting corporate governance structure will be considered by the Assembly Commerce and Economic Development Committee tomorrow, November 30.

  • A-2162 (Diegnan; Schaer)
    Clarifies scope of corporate by-laws; provides that by-laws may include forum selection clause.
  • A-2971 (Diegnan; Webber; Pinkin)
    Clarifies that corporate directors may approve actions without a meeting by electronic transmission.
  • A-2973 (Diegnan; Pinkin)
    Allows certain materials to be included in corporation’s proxy solicitation materials.

The Senate versions of these Assembly bills (S-2234, S-2235, S-2239) were considered and released by the Senate Commerce Committee on Monday, June 19, 2017.
